Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Iptoria marketplace, websites, and related services (the “Platform”). By creating an account, listing intellectual property, or purchasing a licence, you agree to these Terms. If you do not agree, do not use the Platform.

1. Who we are & the parties

Iptoria (“Iptoria”, “we”, “us”) operates an online marketplace that connects owners of intellectual property (“Licensors”) with brands, manufacturers, merchants and individuals who wish to license that IP for merchandising (“Licensees”). Iptoria is an intermediary platform: except where expressly stated, we are not a party to the licence agreed between a Licensor and a Licensee.

2. Accounts & eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Platform. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. We may require identity or business verification (KYC) before enabling listings, payouts, or higher-value transactions.

3. Licensing scope

Iptoria is a merchandising licensing marketplace. A licence purchased through the Platform grants the Licensee the right to use the specified IP on physical or digital merchandise, on the terms configured at checkout — including territory, product category, quantity or units, term (duration), and pricing model (flat fee, royalty, or hybrid).

  • The licence is limited to the scope shown on the licence record. Any use outside that scope (other products, territories, or beyond the term) requires a new or amended licence.
  • Unless the licence states otherwise, licences are non-exclusive, non-transferable, and non-sublicensable.
  • Non-merchandising uses (for example broadcast, franchising, or bespoke commercial arrangements) fall outside standard checkout and must be handled through direct collaboration or negotiation with the Licensor.

4. Payments, fees & taxes

Payments on the Platform are processed by our third-party payment provider, Xendit, and other providers we may use. By transacting, you also agree to the applicable provider’s terms. Prices are shown in the currency displayed at checkout and may be subject to Indonesian Value Added Tax (PPN) and other applicable taxes.

  • Iptoria charges a platform service fee, which may be deducted from the Licensor’s payout or added to the Licensee’s total, as disclosed at the time of the transaction.
  • Licensor payouts are settled to a verified account after the applicable clearing and hold period, net of platform fees, payment-processing costs, taxes, and any refunds or chargebacks.
  • You are responsible for your own tax reporting and obligations arising from your use of the Platform.

5. Refunds & cancellation

Because licences grant immediate digital rights, sales are generally final. Limited exceptions — such as duplicate charges, failed grants, or unauthorised transactions — are set out in our Refund & Cancellation Policy, which forms part of these Terms.

6. IP ownership & warranties

Each Licensor retains all ownership of its IP; nothing on the Platform transfers ownership. By listing IP, the Licensor represents and warrants that it owns or is authorised to license the IP, and that licensing it through Iptoria does not infringe any third-party rights. By purchasing a licence, the Licensee agrees to use the IP only within the licensed scope and to preserve the Licensor’s ownership and marks.

7. Prohibited use

You agree not to:

  • list, sell, or use IP you do not own or are not authorised to license;
  • produce counterfeit goods or use IP beyond the licensed scope, territory, or term;
  • upload unlawful, infringing, deceptive, or harmful content, or content that is defamatory or violates privacy;
  • circumvent fees, manipulate the Platform, scrape data, or interfere with its security or operation.

We may suspend or terminate accounts, remove listings, and withhold payouts for suspected breaches, and may report unlawful activity to the authorities.

8. Disclaimers & limitation of liability

The Platform is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. Iptoria does not guarantee the legality, quality, or non-infringement of any IP listed by Licensors. To the fullest extent permitted by law, Iptoria is not liable for indirect, incidental, special, or consequential damages, and our total aggregate liability arising from the Platform is limited to the fees you paid to Iptoria in the three (3) months preceding the event giving rise to the claim.

9. Indemnity

You agree to indemnify and hold Iptoria harmless from claims, damages, and costs (including reasonable legal fees) arising from your content, your listings, your use of licensed IP, or your breach of these Terms.

10. Governing law & changes

These Terms are governed by the laws of the Republic of Indonesia. We may update these Terms from time to time; material changes will be notified through the Platform, and continued use after changes take effect constitutes acceptance.
